Azryo Policy Framework

1. Acceptance of Terms

By accessing or using Azryo, you agree to be bound by these Terms and Conditions and all applicable laws and regulations. When you make a purchase on the platform, you also agree to be bound by the purchase terms of Norviax LTD, the seller for all purchases.

2. Key Definitions

The following terms have specific meanings throughout these Terms of Service:

• "Platform" or "Azryo Platform": The technology, website, mobile applications, and services operated by Azryo LLC.
• "Azryo" or "Azryo LLC": Azryo LLC, a company registered in Wyoming, USA, that owns and operates the Platform technology. Azryo LLC provides the platform infrastructure, hosting, content delivery, moderation tools, creator tools, user accounts, and community guidelines.
• "Norviax", "Seller", or "Norviax LTD": Norviax LTD, a company registered in England and Wales (Company No. 16274491), that is the Merchant of Record and seller for all purchases made through the Platform. When you make any purchase on Azryo, you are purchasing directly from Norviax LTD.
• "Purchase": Any paid transaction on the Platform, including but not limited to subscriptions, content purchases, tips, pay-per-view content, custom requests, and any other paid features.
• "Fan": A registered user who makes purchases or accesses content on the Platform.
• "Creator": A verified user who supplies content to Norviax LTD for resale to Fans through the Platform.

3. Two-Entity Structure

The Azryo platform operates with a clear separation between platform services and commerce:

Azryo is a subscription-based platform that allows creators to monetize their content through fan subscriptions. Our platform supports both human-created and AI-generated content, clearly labeled as such.

5. User Eligibility

• Must be 18+ years of age
• Must provide accurate registration information
• Must comply with all applicable laws in your jurisdiction

6. Account Responsibilities

• Maintain confidentiality of account credentials
• Notify us immediately of unauthorized access
• Accept responsibility for all activities under your account

6a. Dual-Account Policy (SFW/NSFW)

• Each person may operate up to two accounts total: one (1) SFW account and one (1) NSFW account.
• Cross-linking between SFW/NSFW accounts is prohibited to maintain content separation.
• Operating more than two accounts, or misrepresenting account ownership, results in immediate termination of all accounts.
• Violations of Terms, Community Guidelines, or Guidelines may result in account suspension or termination.
• Upon termination for violations, remaining funds are forfeited to offset moderation, risk, and processing costs.
• If an investigation clears the account of violations, normal access and payout eligibility resume.

7. Revenue Share

The platform operates on a transparent revenue share structure:

• Creator Revenue Share: Creators receive 81% of revenue from purchases of their content
• Platform & Seller Fee: 19% of gross revenue
• No Hidden Fees: All fees are disclosed upfront with no surprise charges

8. Norviax LTD as Seller (Merchant of Record)

Norviax LTD is the Merchant of Record and seller for all purchases made on the Azryo platform. When you make any purchase—including subscriptions, content purchases, tips, pay-per-view, or any other paid transaction—you are purchasing directly from Norviax LTD. Your purchase contract is with Norviax LTD, not Azryo LLC.

Norviax LTD is responsible for:

• Being the legal seller for all purchases
• Processing all payments (card and cryptocurrency)
• Billing and subscription management
• Refunds and chargebacks
• Tax collection and remittance where applicable
• All creator payouts

Azryo LLC provides the platform technology under license to Norviax LTD but is not a party to any purchase transaction. The Norviax name will appear on your bank or card statement for purchases made on this platform.

8a. Cryptocurrency Payments

Norviax LTD accepts cryptocurrency payments through approved third-party payment processors. When you pay with cryptocurrency, you are still purchasing from Norviax LTD. All cryptocurrency transactions, including creator payouts in cryptocurrency, are managed by Norviax LTD.

• Cryptocurrency payments are subject to the same purchase terms as card payments
• Exchange rates are determined at time of transaction
• Cryptocurrency transactions are generally irreversible once confirmed on-chain
• Refunds for cryptocurrency purchases, if granted, may be issued in fiat currency at Norviax LTD's discretion

9. Customer Support Services

Norviax LTD has appointed Azryo LLC as its customer support agent for purchase-related inquiries. When you contact Azryo support regarding billing, refunds, payment disputes, or payout issues, Azryo LLC is acting on behalf of Norviax LTD.

How Support Works:

• All support requests should be submitted to support@azryo.com
• Azryo LLC handles initial review and platform-related matters
• Payment and billing matters are forwarded to Norviax LTD for processing
• All final decisions on refunds, chargebacks, and payment disputes are made by Norviax LTD

For all billing and payment inquiries, please contact support@azryo.com. Azryo LLC will coordinate with Norviax LTD on your behalf.

10. Prohibited Activities

• Harassment, bullying, or threatening behavior
• Sharing illegal content
• Circumventing payment systems
• Creating fake accounts or impersonating others

11. Platform Modifications

Azryo LLC reserves the right to modify platform features, policies, or discontinue services with appropriate notice.

12. Termination

Either party may terminate the agreement. Upon termination, access to purchased content ceases, but creators retain rights to withdraw earned funds from Norviax LTD per the payout terms.

2. Prohibited Content

• Content involving minors

• Misleading or fraudulent content
• Spam or excessive promotional material

3. AI Content Requirements

• All AI-generated content must be clearly disclosed
• AI content must not impersonate real individuals without consent
• Deepfakes or manipulated media must be explicitly labeled
• AI training data must not violate copyright or privacy rights

4. User Conduct

Users must not:

• Share login credentials
• Attempt to hack or breach platform security
• Engage in price manipulation or artificial inflation
• Create multiple accounts to circumvent restrictions

5. Reporting Violations

Users can report violations through our reporting system. All reports are investigated promptly and confidentially.

• Honor subscription commitments
• Report suspicious financial activity

6. Constructive Communication

• Engage in meaningful dialogue
• Provide constructive feedback when appropriate
• Resolve disputes through proper channels

1. Minimum Age Requirements

• All users must be at least 18 years old (or age of majority in their jurisdiction if higher)
• No exceptions for parental consent - this is an adult-only platform
• Age verification required for all account types (Fan, Creator, Agency)
• False age declaration results in immediate permanent ban

For Fans, Azryo requires a one-time age verification using didit before completing their first paid purchase or accessing age-restricted content. didit confirms whether the Fan is 18+ and returns only a verification result to Azryo. Users who fail or refuse age verification cannot make purchases or access restricted areas.

6. False Documentation

• Providing fake IDs or false information is prohibited
• Results in immediate permanent platform ban

• No refunds for banned accounts
• IP and device blocking implemented

7. Geographic Variations

• Some jurisdictions require age 19, 20, or 21 for adult content
• We apply the highest applicable age requirement based on user location
• VPN usage may trigger additional verification
• Certain regions may be entirely restricted

8. Privacy & Data Protection

• Age verification data encrypted and securely stored
• Limited access to verification documents
• Data retained only as long as legally required
• Third-party verifiers bound by strict confidentiality

9. Parental Notification

If we discover a minor has accessed the platform, we may notify parents/guardians if contact information is available, while complying with applicable privacy laws.

• Users who circumvent age verification are fully liable
• Parents/guardians responsible for minor's internet access
• Azryo not liable for minors who bypass verification
• Users indemnify Azryo for age misrepresentation

Azryo uses a combination of automated systems and human review to enforce our content policies and legal obligations. This includes:

• AWS Rekognition: used to classify images and video frames for nudity, sexual content, violence, weapons, drugs, alcohol, hate symbols, and other prohibited categories.
• Microsoft PhotoDNA: used to detect potential Child Sexual Abuse Material (CSAM) by comparing cryptographic hashes against known CSAM databases.
• Whisper (self-hosted): used to transcribe audio from videos and voice content to detect prohibited speech and content.
• Cloudflare R2 and CDN: used for secure storage and delivery of content globally.

Content may be blocked, delayed, or removed based on automated results and human moderation review.

10. CSAM Reporting

In accordance with 18 U.S.C. § 2258A and other applicable laws, Azryo is legally required to report suspected or confirmed Child Sexual Abuse Material (CSAM) to the National Center for Missing & Exploited Children (NCMEC). Such reports may include relevant user information and associated content.

The Azryo platform operates using a Merchant of Record model with the following structure:

When a Fan makes a purchase from Norviax LTD:

• Norviax LTD, as the authorised reseller, grants the Fan a limited, non-exclusive, non-transferable license to view the Creator's content through the Platform
• The content is supplied by the Creator but the license is granted by Norviax LTD as the seller
• This license is personal and cannot be shared, resold, or redistributed
• The license terminates upon subscription end or account closure
• Fans may not download, record, or redistribute any content unless explicitly permitted

2a. Paid Content Types

• Subscriptions: Monthly/annual access to creator's feed, with auto-renewal unless canceled.
• Content Purchases: One-time unlock of specific posts, photosets, videos, or bundles.
• Pay-Per-View (PPV): Direct messages with locked content requiring payment to view.
• Custom Requests: Personalized content created upon fan request for an agreed price.
• Tips: Voluntary payments to creators as appreciation.
• Bundles & Discount Codes: Multi-month subscriptions or promotional offers applied at checkout. Once activated, bundles are non-refundable.

3. Payment Terms

All purchases on the Azryo platform are made from Norviax LTD. When you make a purchase:

• You are purchasing directly from Norviax LTD, the Merchant of Record and seller
• Norviax LTD appears on your bank or card statement for all purchases
• By completing a transaction, you authorise Norviax LTD to charge the selected payment method for the chosen items
• Norviax LTD accepts both card payments and cryptocurrency through approved payment providers
• Azryo LLC does not process or store payment information and is not a party to the purchase transaction
• Subscriptions auto-renew unless canceled before the renewal date. Cancellation prevents future charges but does not retroactively refund elapsed time.
• Tips and PPV transactions are one-time and final, except where required by law or expressly permitted in the Refund Policy.
• Content Purchases and Custom Requests are one-time purchases granting limited access rights; see Refund Policy for exceptions.
• Bundles and Discount Codes apply as stated at checkout and cannot be exchanged or partially refunded once activated.

4. Fan Obligations

Fans agree to:

• Make all payments in good faith
• Not issue unjustified chargebacks or payment disputes
• Respect Creator intellectual property rights
• Not share or distribute Creator content outside the platform
• Maintain confidentiality of private communications with Creators

4a. Chargebacks & Fraud

• All chargeback disputes are handled by Norviax LTD as the seller and Merchant of Record.
• Submitting unjustified chargebacks or payment disputes is prohibited and results in immediate Fan account ban.
• Where fraud is confirmed, eligible Fans may receive refunds from Norviax LTD; however, payment processing fees are deducted and are non-recoverable.
• Creators are protected from abusive chargebacks; Norviax LTD may hold disputed funds pending resolution.

5. Creator Obligations

Creators agree to:

• Provide content as described in their offerings
• Maintain consistent content quality and posting schedules
• Engage professionally with Fans
• Honor all subscription and content commitments
• Comply with all platform policies

6. Dispute Resolution

• Disputes between Fans and Creators regarding content should first be resolved through direct communication
• Azryo LLC provides mediation services for content and platform-related disputes
• Payment-related disputes (refunds, chargebacks) are handled by Norviax LTD as the seller
• Decisions on payment disputes by Norviax LTD are final
• Users may appeal platform decisions through the Complaints & Appeals Policy

7. Refund Policy

As the seller, Norviax LTD handles all refund requests:

• Digital items (Subscriptions, Content Purchases, PPV, Custom Requests) are generally non-refundable once delivered or accessed.
• Refunds may be granted by Norviax LTD for: (i) technical failure preventing access; (ii) clear misrepresentation of the item; (iii) confirmed fraud or unauthorized payment.
• Refund requests must be submitted to support@azryo.com within 14 days of purchase with evidence. Azryo will forward your request to Norviax LTD for processing. If approved, payment processing fees are deducted.
• Refund decisions are made by Norviax LTD and are final.

8. Termination of Agreement

This agreement terminates when:

• The subscription period ends without renewal
• Either party closes their Azryo account
• Azryo terminates the account for policy violations
• The Creator removes their content offering

9. External Content Links (Direct Purchase without Account)

Creators may generate Content Links that allow Fans to purchase content without creating an Azryo account. Azryo solely provides link generation and payment rails. Creators are fully responsible for content delivery, customer service, and any disputes arising from such transactions.

• Azryo is not liable for fulfillment, refunds, or disputes for Content Links.
• Creators using Content Links must honor consumer protection laws and clearly describe deliverables and timelines.
• Abuse or misrepresentation via Content Links may result in enforcement actions, including fund forfeiture.

• Payment or transaction disputes

Escalated payment matters will be forwarded to Norviax LTD for final review. All payment-related decisions by Norviax LTD are final. Escalation does not guarantee a different outcome.

7. Protection Against Retaliation

• Azryo prohibits retaliation against users who file good-faith complaints
• False or malicious complaints may result in account penalties
• All complaints treated confidentially to extent possible

8. Transparency Reporting

• Quarterly reports on complaint volumes and outcomes
• Annual transparency report on platform moderation
• Regular updates to community on policy enforcement

• This revenue share covers all platform operations including hosting, content delivery, moderation, support, payouts, compliance, and seller costs. No additional fees are charged to Creators.
• Regular payout schedule (weekly/monthly)
• Detailed earnings reporting and analytics

6. Creator Responsibilities

• Maintain content quality and authenticity
• Engage positively with subscribers
• Comply with all platform policies
• Properly label AI-generated content
• Respond to support requests promptly
• They have model releases for all individuals appearing in content

7. Content Licensing for AI Training

Creators can opt-in or opt-out of allowing their content to be used for AI training purposes, with clear compensation terms.

8. Tax Obligations

As independent contractors, creators acknowledge:

• Full responsibility for all tax obligations on earnings
• Requirement to provide accurate tax information
• Obligation to maintain proper business records
• Understanding that Norviax LTD provides payment services as the seller, and this does not constitute employment
• Agreement to indemnify Azryo for any tax-related claims

9. Set-Off and Withholding Rights

Norviax LTD, as the seller and payer of creator earnings, reserves the following rights:

1. Revenue Streams

Creators earn revenue from Norviax LTD based on purchases made by Fans:

• Subscription fees (including bundles and discounts)
• Content Purchases (one-time unlocks of posts, photosets, videos, bundles)
• Pay-Per-View (PPV) posts/messages
• Custom Requests / Paid Messages
• Tips and donations
• Merchandise integrations
• Affiliate/referral commissions

2. Revenue Share

• Creators receive 81% of net revenue from purchases of their content
• Norviax LTD retains 19% to cover platform operations, compliance, payment processing, and seller costs
• This unified structure includes all operational, compliance, and processing costs. Creators are not charged separate fees.

3. Payout & Funds Handling

All payouts are issued by Norviax LTD:

• Minimum withdrawal: $50 (or local equivalent).
• First Payout Review: When a Creator submits their first withdrawal request, Norviax LTD conducts a profile/compliance review before approving payout.
• Investigation Holds: If reports or risk alerts require review, funds are temporarily frozen by Norviax LTD until the investigation concludes.
• Forfeiture on Violations: Confirmed violations may lead to fund forfeiture as specified in Enforcement terms.
• Release of Funds: If no violations are confirmed, frozen funds are released and payouts proceed on the normal schedule.
• Chargeback Window: Earnings may be temporarily reserved by Norviax LTD to cover payment disputes and processor holdbacks.

4. Tax Responsibilities

• Creator Responsibility: You are 100% responsible for declaring and paying all applicable taxes on your earnings
• Income Reporting: Report all Azryo earnings as self-employment income
• Tax Types May Include: Income tax, self-employment tax, VAT/GST, state/local taxes
• International Creators: Subject to tax laws in your country of residence
• US Creators: Will receive 1099 forms for earnings over $600/year
• Tax Documentation: We provide earnings reports but not tax advice
• Withholding: Azryo does not withhold taxes unless legally required
• Professional Advice: Consult a tax professional for your specific situation
• Penalties: Failure to pay taxes is solely creator's liability, not Azryo's

5. Age Verification (NSFW)

• Creators publishing NSFW content must pass enhanced age/KYC verification.
• Fans must verify age before accessing NSFW content areas, purchases, or DMs.
• Attempts to bypass age checks lead to permanent bans and potential fund forfeiture.

6. Special Events & Promotional Adjustments

• Azryo may run limited-time events (e.g., reduced platform fee, bonus pools) that increase Creator net earnings.
• Event terms are announced in-app or via email and apply automatically unless otherwise stated.

7. Payout Process

All payouts to Creators are issued by Norviax LTD:

• Minimum payout threshold: $50
• Payout schedule: Norviax LTD aims to process all valid withdrawal requests within ten (10) business days. Delays may occur due to fraud reviews, compliance checks, technical issues, or third-party banking procedures.
• Available payment methods: Bank transfer, cryptocurrency
• Tax documentation requirements apply

7a. Payout Compliance Review

All Creator payouts are issued by Norviax LTD. Before processing payout requests, Norviax LTD requires confirmation from Azryo LLC that:

• The Creator's account remains in good standing with Platform rules
• The content generating earnings complies with Platform guidelines
• No unresolved content violations, disputes, or investigations exist
• All required verification and tax documentation is complete

This compliance review is a condition of the B2B supply agreement between Creators and Norviax LTD. Azryo LLC performs compliance checks on behalf of Norviax LTD, but Norviax LTD retains final authority over all payout decisions.

If a payout is delayed or withheld due to a compliance concern, Creators will be notified of the reason and may appeal through Azryo support. Once compliance is confirmed, Norviax LTD will process the payout according to the standard schedule.

8. Earnings Transparency

10. Dispute Rate Threshold & Administrative Fees

If your account exceeds a 1.5% dispute rate (including chargebacks and refunds) over any rolling 30-day period, we may apply a $50 USD administrative fee per dispute thereafter.

This fee reflects the costs associated with fraud mitigation, compliance, and platform integrity. We may waive it at our discretion where genuine efforts are made to address the root cause.

You acknowledge that:

• Not all disputes are due to card fraud
• Disputes may arise from misleading content, delivery failures, unfulfilled custom requests, or policy violations
• You are responsible for maintaining a positive user experience and minimising avoidable disputes

11. Balance Discrepancy Reporting

Any discrepancies in your Creator Balance must be reported to support@azryo.com within 30 days of the transaction date. We are not obliged to make retrospective adjustments for discrepancies reported beyond this period.

1. Overview

The Azryo Referral Program rewards users who invite new creators to join the platform. When someone signs up using your referral link and begins earning, you receive 5% of their eligible earnings. Referral rewards accumulate automatically and are subject to the conditions below.

By participating in the Referral Program, you agree to these terms, which form part of Azryo's Terms of Service.

2. Referral Earnings

For each creator you refer:

• You earn a 5% referral reward based on their eligible earnings
• "5%" represents the combined referral reward across multiple earning categories

Internally, rewards are calculated as:

• 3% from purchases
• 2% from subscriptions

For transparency and simplicity, referrers see only the combined 5% reward value. Referral rewards are generated automatically and are credited to your pending referral balance.

3. Activation Requirements (Unlock Conditions)

Referral rewards become withdrawable only once the referred creator has met all of the following activation requirements:

Azryo may offer custom referral terms to select creators, partners, or businesses. These special partner agreements may include adjusted percentages, extended caps, or personalized terms.

Such agreements apply only to the selected partner and do not modify the standard Referral Program Terms for general users.

6. Fraud Prevention & Ineligible Activity

To maintain a fair and secure referral environment, the following activities are not eligible for referral rewards:

• Self-referrals (using your own link to create additional accounts)
• Accounts created with fraudulent, automated, or artificial methods
• Accounts sharing the same individual, device, or payment information
• Accounts that fail identity verification
• Revenue that is later refunded, reversed, or charged back
• Activity deemed abusive or intentionally misleading

Azryo reserves the right to review referral activity and withhold rewards if fraudulent behavior or abuse is detected.

7. Payout & Withdrawal

• Referral rewards transfer from pending to withdrawable only after all activation conditions are met
• Referral rewards are paid out using the same payout method available to creators
• Standard payout minimums and verification requirements apply

8. Program Modifications

Azryo may update or adjust the Referral Program at any time to maintain platform integrity, prevent abuse, or ensure compliance with financial regulations.

Changes will not affect pending rewards unless the activity is found to violate these terms.

9. Acceptance of Terms

Participation in the Azryo Referral Program constitutes acceptance of these terms. If you do not agree to any condition, please discontinue participation in the program.

10. Marketing & Disclosure Compliance

When promoting your referral link, you are responsible for complying with all applicable marketing laws, advertising standards, and disclosure requirements in your jurisdiction. This includes but is not limited to:

• Equivalent regulations in your country of residence

You must clearly disclose your affiliate relationship when promoting Azryo through social media, websites, or other channels. Failure to comply with disclosure requirements may result in removal from the Referral Program.

• Do not imply official endorsement or partnership unless agreed in writing

3. Prohibited Promotion Methods

The following promotional methods are prohibited:

• Unsolicited mass messaging or spam
• Misleading advertisements or clickbait
• Promotion on platforms where your content type violates their terms

5. Creator Representations

As the seller and Merchant of Record, Norviax LTD handles all chargeback disputes:

• Creators notified immediately of chargeback initiation by Norviax LTD
• Disputed funds frozen by Norviax LTD pending resolution
• Creators must provide evidence within 7 days
• Evidence may include: content delivery proof, interaction logs, upload timestamps
• Norviax LTD manages the dispute process with payment providers

3. Fan Chargeback Consequences

• First unjustified chargeback: Immediate permanent ban
• All purchased content access revoked
• Username and payment methods blacklisted by Norviax LTD
• Legal action for fraudulent chargebacks
• Reporting to fraud prevention databases

4. Creator Protection

• Creators not liable for payment processing fees on chargebacks
• Norviax LTD covers first $100 of monthly chargeback losses per creator
• Repeat chargeback targets receive additional protection
• Option to block users with chargeback history

5. Fund Release

• Funds released by Norviax LTD after 7-day hold if no issues
• Chargeback resolution: 30-90 days typical
• Won disputes: Funds released by Norviax LTD within 48 hours

6. High-Risk Account Management

• Accounts with >2% chargeback rate subject to extended holds by Norviax LTD
• May require reserve fund (10% of earnings)

• Potential payout frequency limitations

Azryo and Norviax comply with Visa Global Brand Protection Program (GBPP) and Mastercard AN 5196 requirements for platforms hosting adult content. This includes identity and age verification of Creators, consent validation for performers, content moderation and risk monitoring, and maintaining appropriate records.

We retain identity verification results, Model Release Agreements, moderation logs, and relevant financial data for 3–7 years, or longer where required by law or card network rules.

1. Complete Agreement

These Terms of Service, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Azryo regarding the use of our platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the platform.

2. No External Representations

• No representations or promises made outside these Terms are binding
• Marketing materials are for informational purposes only
• Support communications do not modify these Terms
• Only written amendments signed by Azryo can modify these Terms

3. Order of Precedence

In case of conflict:

• Specific terms override general terms
• Newer policies supersede older versions
• Written agreements supersede verbal communications
• These Terms control over marketing or promotional materials

4. Survival of Terms
